某境外污水处理PPP项目投标及合同谈判实务案例（一）

3) Technical Requirements(技术要求)：包括工艺要求、产出说明、参考设计标准、要求等内容。

4) Commercial Requirements (商务要求)：包括关键人员、主要设备、质量安全环保健康管理体系、类似业绩、报价说明、财务状况、融资方案、财务模型等内容。

5) Concession Agreement (特许经营协议)：包括约200页的主合同条款31条， 约100页的21个附件等内容。

6) Evaluation Criteria (评审办法)：采用综合评审法，包括潜在社会资本实力(11%)、技术方案(10%)、商务和财务方案(53%)、实施方式(16%)以及用户服务及全生命周期安排(10%)等内容。

7) Site Location Map (现场位置图)：附现场位置图。

8) Prescribed Forms and Statements (规定格式及声明)：包括FORM OF BAFO(投标函)、BAFO BOND(投标保函)、STATEMENT OF NON-COLLUSION(非合谋声明)、STATUTORY DECLARATION(合法声明)、DECLARATION ON VALIDITY OF DOCUMENTS(投标文件有效期声明)、STATEMENT BY JOINT VENTURE / CONSORTIUM BID PARTNER(联合体声明)、STATEMENT ON CONTINGENT LIABILITIES(或有债务声明)、SCHEDULE OF AMENDMENTS TO THE CONCESSION AGREEMENT(合同偏差)等内容。

四、 与国内PPP项目采购主要不同之处

本项目的招标采购与国内目前PPP项目的招标采购有很多不同之处，对其主要方面简单分析如下：

1. 国有公司可以作为采购主体。

按照财政部2014年11月29日发布的《政府和社会资本合作模式操作指南(试行)》(财金〔2014〕113号)的规定，政府或其指定的有关职能部门或事业单位可作为项目实施机构，负责项目准备、采购、监管和移交等工作。因此，国内PPP项目的采购人应是县级以上人民政府或其指定的有关职能部门或事业单位。

本项目的项目发起人(采购人)是该国政府设立的全资房地产开发有限公司，专门负责规划中的新国际贸易金融中心战略发展、开发等事宜，公司设置专家委员会、董事会、经营管理层等组织架构。同时，该项目发起人(采购人)作为特许经营协议甲方，与项目公司签署相关合同协议文件。

2. 允许递交备选标。

国内PPP项目招标采购之时，基本不允许递交备选标，但是本项目招标允许递交备选投标文件。Instructions to Bid Partners (投标人须知)规定：如果一个潜在投标人已经递交了基本标，则其可以(不是必须)同时递交一个或更多备选标。递交基本标是递交备选标的前提，且备选标必须明确标注“备选标”字样，基本标必须明确标注“基本标”字样。项目发起人(采购人)并没有义务考虑或评估备选标(Provided a Bid Partner has submitted a Base BAFO, it may (but is not required to do so) also at the same time submit one (1) or more Alternative BAFO. The submission of a Base BAFO is a pre-condition for a Bid Partner submitting an Alternative BAFO. If a Bid Partner submits an Alternative BAFO, it must clearly mark the BAFO “Alternative BAFO”. The conforming Base BAFO must be clearly marked as “Base BAFO”. The Master Developer is not obliged to consider or evaluate an Alternative BAFO)。

本项目中标社会资本递交了备选标，并且备选标部分内容最后被项目发起人(采购人)认可，成为特许经营协议的组成部分。

3. 中标社会资本对项目公司履约承担保证责任。

按照Instructions to Bid Partners (投标人须知)要求，中标社会资本将在项目所在地新设立一家公司(或者独资或者按照联合体约定出资比例)来实施项目以及签署特许经营文件，这家新公司就是项目公司，其唯一的经营就是实施和执行项目(The Successful Bid Partner will incorporate a new Local Company (either wholly owned by that Successful Bid Partner or having the consortium members owning equity interest in it in the same proportion as indicated in the Statement by Joint Venture / Consortium Bid Partner submitted by the Successful Bid Partner) to execute the Project and enter into the Concession Documents. The newly incorporated Local Company will be the Concession Company and its sole business shall be only to undertake and implement the Project)。

按照Concession Agreement (特许经营协议)附件4母公司担保(ANNEXURE 4 PARENT COMPANY GUARANTEE)的要求，应由项目公司的母公司(保证人)向项目发起人(采购人)递交一个不可撤销和独立的保证，保证人作为主要债务人，不可撤销和无条件地保证项目公司(包括其承继人和代理人)按照特许经营协议、租赁协议和许可协议(合称“特许文件”)的规定全面和适当的履行责任、承诺、赔偿，担保和义务(合称“项目公司义务”)(The Guarantor is desirous of guaranteeing the due and proper performance by the Concession Company of its duties, undertakings, indemnities, warranties and obligations (collectively, “Concession Company Obligations”) under the Concession Agreement, the Lease Agreement and the Licence Agreement (collectively, “Concession Documents”) on and subject to the terms of this Guarantee)。如果项目公司在任何方面有任何违反，或者未能执行或完成任何项目公司义务，则保证人应作为主要债务人不可撤销和无条件地在收到项目发起人(采购人)的书面要求之日起5日内，代替项目公司履行这些项目公司义务(if the Concession Company shall in any respect commit any breach of, or fail to perform or fulfil, any Concession Company Obligations, then the Guarantor as primary obligor shall irrevocably and unconditionally within five (5) days from its receipt of the written demand from the Master Developer, perform and fulfil or cause to be performed and fulfilled in the place of the Concession Company each and every Concession Company Obligation in respect of which the Concession Company has committed a breach or which the Concession Company has otherwise failed to perform or fulfil)。

国内PPP项目对于项目公司和中标社会资本之间的关系一直存在争议，一种观点认为，按照《中华人民共和国公司法》的规定对项目承担有限责任，另一种观点认为中标社会资本对项目公司履行项目合同项下的责任和义务承担连带责任。

本项目招标文件并没有明确中标社会资本和项目公司之间的连带责任，但是要求项目公司的母公司递交一个前述所述的保证，从保证的实质内容来看，笔者认为是连带责任保证。

4. 投标有效期较长。

按照Instructions to Bid Partners (投标人须知)要求，投标有效期为开标之日起至少12个月的时间(Each BAFO (including its contents) submitted pursuant to this Request for BAFO shall remain valid and irrevocable for at least twelve (12) Months from the BAFO Closing Date (“BAFO Validity Period”))。
